WORLD ECONOMIC DEVELOPMENT STUDY ASSOCIATION


In accordance with Article 11 of the Association Law (Official Gazette No. 88 of 11th October 2001) the Charter Convention of " Geoeconomic Forum", the Association for World Economic Development Studies, assembled on april, 2004 has adopted this


STATUTE

of "Geoeconomic Forum", the Association for World Economic Development Studies


I GENERAL PROVISIONS


Article 1

This Statute shall provide for: the name and domicile of the association, the scope of its activities, its representation, its goals and activities by which to meet the goals, the ways of making its work public, its membership, internal structure, uniting with other associations and its membership in international associations, its bodies, property, profit management, the cessation of its work, and other issues, in conformity with the law.


Article 2

The name of the association shall be: " Geoeconomic Forum", the Association for World Economic Development Studies (hereinafter referred to as "the Association").


Article 3

The domicile of the Association shall be in Karlovac, Kralja Tomislava 19 b.
The Association shall act in the area of Croatia.
Any decision about changing the address of the domicile shall be made by the Association Council.


Article 4

The association shall have a logo. The content of the logo shall be determined subsequently, according to a proposal by the Association Council.


Article 5

The Association shall have the capacity of a civil legal person. The Association shall gain the capacity of a civil legal person on the day of its entry into the Register of Associations kept by the Karlovac County General Administration Office.


Article 6

The Association shall have a seal. The seal shall be circular, 30 mm in diameter, and shall contain the name of the Association.
The seal shall be kept, and the responsibility for it shall be borne by the Association General Secretary.


II REPRESENTATION


Article 7

A chairman and two vice-chairmen shall represent the Association and act on behalf of the Association, and shall sign all Association related documents. In case the chairman of the Association is absent, he shall be substituted by a vice-chairmen.


III GOALS AND ACTIVITIES OF THE ASSOCIATION


Article 8

The main goal of the Association is the promotion of a geoeconomic approach in the study of the consequences of modern world economic development for Croatia, lobbying for the development of a national geoeconomic strategy focusing on connecting economy, foreign politics and national security, and the exchange of geoeconomic experiences with the countries of South-Eastern Europe.

A goal of the Association is to stimulate, through cooperation with government and other public institutions, the creation of measures oriented to strategic use of geoeconomy in which export, import, investments, etc. shall be instruments of reaching national goals, development, and the instruments of strengthening the stability in the region. The Association shall work on the promotion of these goals on local, national and international levels.

The Association shall work on connecting the experts from business, government and academic milieu, but also the students of economic, political and military studies.

The Association shall:

- organize Geoeconomic Forum (GEOFO), a conference to be held once a year

- educate the public about the importance of geoeconomics and the need of managing the consequences of the world economic development in Croatia and South-Eastern Europe

- research key elements required for geoeconomically shaped politics of Croatia in its relations with the rest of the world

- research the extent to which the economic globalization affects reaching national goals and economic and social stability of the society

- study the ways in which the neighbouring countries run their respective geoeconomical policies in the region

- promote the establishment of policies and relationships in South-Eastern Europe based on the principles of geoeconomics

- study economic factors which increase not only economic security of the country, but overall security as well

- encourage the study of the Croatian economic system model, and of the way in which liberalization and privatization affect social security, justice, democracy and human rights in Croatia;

- research the experiences of small countries within major integration blocks;

- work on the development of a network to include all Croatian institutions responsible for the economy, foreign policy and stability of the country;

- publish "Geoekonomija", a magazine dealing with geo-economic issues.


Article 9

To achieve its goals and accomplish its tasks the Association may establish a company or any other organization in accordance with valid laws and regulations.

Should a need arise, special sections may be established within the Association, all in accordance with valid laws and regulations.


Article 10

The work of the Association shall be public. The public nature of the work shall be achieved in the ways stipulated by this Statute, namely:

- by timely informing the members about the work of the Association and about any events of significance,

- by written reports, or in any other suitable manner,

- by means of the media

- by means of the Association web-site.


Article 11

Where appropriate, the Association shall invite, to the Assembly meeting or to the meeting of its bodies, those legal subjects with which mutual cooperation has been established.


IV MEMBERSHIP OF THE ASSOCIATION


Article 12

The membership of the Association shall be voluntary. The membership may be regular, supporting or honorary.
Any person qualified for business, a citizen of Croatia or any other country, may become a member of the Association.


Article 13

Any citizen, company or institution, which accepts the goals and tasks provided for by this Statute and fills out the application form may become a member of the Association.


Article 14

Any citizen, company or institution, which accepts the goals and tasks provided for by this Statute, and which contributes to the fulfilment of goals and implementation of programmes set by the Association by providing practical, expert or financial support may become a member of the Association.

An honorary member may be any person, company or institution, deserving credit for helping toward the implementation of ideas and accomplishment of goals of the Association.

Supporting and honorary members may participate in the work of the Association Assembly at its meetings, without a right of decision.


Article 15

The rights and obligations of the members shall be:

- to engage in basic activities of the Association

- to preserve and build up the reputation of the Association


Article 16

The Council shall determine the amount of the Association membership fee.


Article 17

The membership of the Association shall cease by exclusion or by voluntary withdrawal. Any excluded member shall have the right of appeal to the Council, the decision of which shall be final and bounding.


V BODIES OF THE ASSOCIATION


Article 18

The bodies of the Association shall be:

- Council

- Chairman

- two Vice-chairmen

- Assembly

Article 19

Council shall be the highest body of the Association management. It shall be composed of the Association members appointed by the Association Assembly.


Article 20

The meetings of the Assembly may be regular, electoral, or emergency.
The Assembly shall hold regular meetings at least once a year, and electoral meetings once in every four years.
In its decision on convoking a meeting of the Assembly, the Council shall define the agenda, date and place of the meeting.
The Council shall have the exclusive right to convoke the Assembly.


Article 21

The Assembly shall be chaired by the Chairman of the Assembly, and in his absence by the Vice-chairmen.
The minutes of the Assembly meeting shall be made, and filed in the Association archives.


Article 22

The Assembly decisions shall be valid provided that more than 50 % of all the Council members attend the meeting, and the decisions shall be made by majority votes of the attending Assembly members.


Article 23

The Association Assembly shall:

- establish the Association development policy

- adopt the Statute

- make financial plans and annual financial statements

- develop and change the programme of activities

- make other documents and decisions essential for the work of the Association

- asses and approve reports on the work of the Association

- provide guidelines for the work of the Association

- establish and appoint boards, commissions and similar bodies, as required, and determine their duties.


COUNCIL


Article 24

The Council of the Association shall perform executive functions and other activities set out in this Statute.


Article 25

The Council of the Association shall consist of seven to nine members.
The Council shall be the top executive and operative body of the Association.
The Association Chairman shall direct the work of the Council.
Members of the Council shall be appointed by the Assembly. The members of the Council shall choose among themselves and appoint their chairman and two vice-chairmen.


Article 26

The Council shall:

- appoint the Council Chairman and two Vice-chairmen

- appoint the General Secretary of the Association

- convoke the Assembly of the Association

- draw up a program of activities and submit it to the Assembly for evaluation and approval

- lay out the activity schedule

- be in charge of the implementation of the approved programme

- manage the Association property

- make out reports on the work of the Association Assembly

- appoint commissions or other bodies, as may be required, and determine their tasks.


Article 27

The sessions of the Council shall be convoked by the Association Chairman or Vice-chairmen. Any decisions of the Council shall be made by majority votes of the members attending the Council session.
The sessions of the Council shall be held when required, but they have to be held at least once in three months.


Article 28

The Council shall account for its work to the Assembly.
The Council shall submit its annual activity reports to the Assembly.
The mandates of the members of the Council shall last for four years.


CHAIRMAN OF THE ASSOCIATION


Article 29

The Association shall have a Chairman and two Vice-chairmen.
The Chairman and the Vice-chairmen shall be appointed by the Council for a period of four years.


Article 30

The Chairman shall:

- represent the Association

- initiate certain issues from the scope of activities of the Assembly and Council

- be in charge of informing the public about the work of the Assembly and Council

- direct the work of the Assembly and Council

- submit reports on his activities to the Council and the Assembly.

In case that the Chairman is prevented to perform any of his duties, they shall be performed by one of the Association Vice-chairmen.


GENERAL SECRETARY OF THE ASSOCIATION


Article 31

The General Secretary of the Association shall be appointed by the Council for a period of four years. The General Secretary shall keep a register of members and dircet the work of The Conference.

VI PROPERTY AND PROPERTY ACQUISITION


Article 32

The property of the Assembly shall include:

- financial funds

- movables

- real estate

- rights and obligations of the Association


Article 33

The Association shall acquire its property:

- through donations and gifts

- from other sources in accordance with the law.


Article 34

The Association shall use any profits it gains to improve its work.

VII CESSATION OF WORK

Article 35

The Association shall cease to work in the cases provided for by the law.

The decision about the cessation of work of the Association shall be made by the Assembly. The decision shall be made by three-quarter-majority votes out of the total number of the Association Assembly members.

Should the Association cease to work, its property shall devolve upon another association with similar goals, in accordance with the decision by the Council.

VIII TRANSITIONAL AND FINAL PROVISIONS


Article 36

The Statute of the Association shall be adopted by the Assembly, by majority votes of its members, and after a due discussion.
This Statute shall come into force on the date of its entry into the Registry of Associations by a competent government authority.


Chairman of the Association
